Acavya

What are the terms for using Acavya?

These terms say that you may use Acavya for your institute, pay the flat plan fee plus GST, keep ownership of your data, and that we provide the service on a best-effort basis with the limits of liability set out below.

The Hindi version of these terms is a summary; if the two differ, this English text prevails.

Who are the parties and what does this agreement cover?

This agreement is between Acavya Ventures, the trade name of ACAVYA, a sole proprietorship registered in India (Udyam registration UDYAM-UP-38-0103995) (“Acavya Ventures”, “Acavya”, “we”) and the institute that signs up (“you”). It covers the Acavya web app, mobile and desktop apps, public pages and related services (“the Service”). By creating an account or starting a trial you accept these terms for your institute and confirm you are authorised to do so.

How do you reach us and our Grievance Officer?

Acavya Ventures is based in Uttar Pradesh, India. Write to us at contact@acavya.com. Our Grievance Officer is Shivam Pandey (Grievance Officer), reachable at the same address.

What do we provide?

We provide the plans described on the pricing page (Free, Starter, Growth, Pro, Scale and Enterprise). Features may change over time. A feature shown as planned is not part of the Service until it is released.

How do accounts and users work?

  • You are responsible for the users you invite and the roles you give them. Staff and parent users are not charged separately.
  • Keep sign-in details and devices safe. Tell us promptly if you suspect misuse.
  • You must have the right to give us the data you upload, including parents’ and students’ details.

What do you pay, and when?

  • On a flat plan, the fee is the flat price of the plan whose band holds your peak active students, at the prices in our current price book, excluding GST, which is added at the rate in force. The bands, allowances and offers are shown on the pricing page.
  • A student counts if enrolled and not withdrawn, counted once across branches. If you stay above your band for 2 months in a row we propose the next plan; you accept it and pay only the difference for the rest of your term.
  • On Pay as you go, you pay the monthly minimum shown on the pricing page. At each month close, the active students above what the minimum covers are charged from your prepaid wallet at the per-student rate on the pricing page, with GST added. Pay as you go is billed monthly only.
  • Messaging and built-in live hours beyond your monthly pool are charged from the prepaid wallet at the rates shown on the pricing page. AI is not charged.
  • The 30-day trial is free of charge and covers up to 30 active students; a 31st active student needs a paid plan. You set up your own institute, and an optional sample setup is available to explore. Moving to a paid plan needs payment.
  • If an invoice is still unpaid 30 days after we have sent you a notice, we may restrict the Service. We will not delete your data for non-payment before you have had a chance to export it.

Who owns the data, and what is our role?

You own your data and are the data fiduciary under the DPDP Act. We act as your data processor under the Data Processing Agreement and the No-Poach and Data Ownership Pledge, which form part of this agreement. You can export your data at any time (data export).

How do AI features work under these terms?

AI output is a draft. A person at your institute must review and approve anything that affects a student record, a mark, a certificate or a message to a parent. AI output can be wrong, and you remain responsible for decisions taken on it. Redaction and approval rules are described on the security page.

What support and availability can you expect?

We aim for the response targets on the contact page and for high availability, but we do not guarantee uninterrupted service. These are targets, not commitments. Service credits do not apply.

Who owns the software?

We and our licensors own the Service and its software. You receive a non-exclusive right to use it for your institute while your agreement is in force. Your institute’s name, logo and content remain yours.

What are the limits of our liability?

The Service is provided “as is” and “as available”, and we do not promise that it will be free of errors or meet every need of your institute. Neither side is liable for indirect or consequential loss, such as lost profit. Our total liability for all claims in any 12 months is limited to the fees you paid us in those 12 months. You will cover us against claims that arise from content or data you upload without the right to do so, and we will cover you against claims that the Service itself infringes someone’s intellectual property. Nothing in these terms limits liability that cannot be limited by law.

How can the agreement end?

You may stop using the Service at any time. Either side may end the agreement with 30 days’ written notice, or immediately for serious breach. At the end we return or delete your data under the DPA, and you can export it first. Trial data is kept for 60 days after a trial ends without conversion.

Which law applies?

Indian law applies. Courts at Jaunpur, Uttar Pradesh have jurisdiction. We may update these terms and will tell you in advance of material changes.
